General Terms and Conditions
of paulus & schuler GBR

§ 1 General
1. These Terms and Conditions apply to all business relationships with you, the client, for businesses and natural persons alike.
2. Additional or different Terms and Conditions can only apply through a mutually signed agreement.

§ 2 Contractual parameters
1. Our offers are non-binding. We preserve the right to make changes.
2. By ordering our wares you commit to buying.
3. The acceptance of your order is conducted through email confirmation or shipment to you.
4. In case of an order via email we will confirm the reception of your order as soon as possible.
5. Contractual agreements are dependent on correct and timely deliverance to us by our suppliers and subcontractors.
6. In case of delays or unavailability we will inform you immediately. Possible refunds will be available to you immediately.
7. If you are ordering electronically, we will store the order data and supply both the Terms and Conditions and the transaction data via email.

§ 3 Retention of Title
1. The articles will remain in our possession until full payment.
2. In case you run behind on payments we preserve the right to demand return of the articles.

§ 4 Right of Revocation for Distant Selling
1. For two weeks after the ordered items arrive you retain the right to withdraw from the purchase. You do not need to state a reason for a withdrawal. Simply revoke your purchase in written form or by sending us back the items. To comply with the deadline, it is enough if you stay within the two-weeks’ timeframe when revoking.
The right for withdrawal does not apply to items custom made for you.
2. When exercising the right of withdrawal, you are obliged to return the goods if the goods can be sent by parcel. Please note that goods shipped unfree cannot be accepted.
3. You may inspect the goods carefully. But you must pay compensation for any deterioration caused by the intended use of the goods. Thus, for example, the use going beyond the mere test that we can no longer sell the goods as "new", you must compensate the loss of value.

§ 5 Payment
1. The price offered in the current price list is in EUR and is binding. The purchase price includes the German VAT.
2. If you order items to be shipped to you, the price does increase to include the cost of shipping. You will incur no additional costs when ordering through mail, electronically or via phone.
3. The purchase price is to be paid.
4. You agree to pay the purchase price upon receiving the goods. After expiry of 8 days after delivery, we charge the statutory default interest of 5% above the current base rate in accordance with § 247 BGB.
5. You can recalculate your counterclaims at any time as soon as they have been legally established or recognized by us.

§ 6 Warranty
1. If our goods are defective, you can choose whether you want to demand repair of the defect or the delivery of a defect-free product (so-called supplementary performance). However, we are entitled to refuse the type of supplementary performance chosen, if this is only possible with disproportionate costs and the other type of subsequent performance without significant disadvantages for the customer remains.
2. If we can neither remedy the defect nor provide you with a defect-free item, you can always demand a reduction of the purchase price (reduction) or cancellation of the contract (withdrawal) at your discretion. With only a small lack of conformity, with only small defects, you have no right of withdrawal.
3. If you choose to withdraw from the contract due to a defect, you will not be entitled to any further damages.
4. Claims for defects in the goods sold expire within two years from delivery of the goods.

§ 7 Final provisions
1. The law of the Federal Republic of Germany applies. The provisions of the UN Sales Convention do not apply.
2. Should individual contractual provisions be invalid for any reason, the remaining provisions remain fully effective. In place of the invalid provisions, such a provision shall come into effect, which comes as close as possible to the mutual consent of both parties to the contract of sale.
